Subscription Terms
These Subscription Terms of Use (“Subscription Terms”) provide the general terms and conditions that govern your subscription with The Barcode Warehouse (“TBW”) for the TBW website located at www.thebarcodewarehouse.co.uk (“Website”) regarding the subscription services offered to you on the Website as more fully described in Section 1, below (“Subscription Services”). These Subscription Terms constitute the entire agreement between you and TBW in relation to the Subscription Services.
For the avoidance of doubt, in these Subscription Terms, the terms “we” and “us” shall mean TBW and “you” shall mean the person or entity requesting the Subscription Services.
Please note that your use of the Website is also governed by our policies listed at: https://www.thebarcodewarehouse.co.uk/help/terms/, as well as all other applicable terms, conditions, limitations and requirements, in each case as may be modified from time to time, all of which are incorporated into these Subscription Terms.
Please read these Subscription Terms carefully. By requesting the Subscription Service, you confirm your acceptance of these Terms and shall be bound by the same during the provision of the Subscription Services.
Every Order of a Product to which the Subscription Services apply to shall be governed by TBW’s Standard Terms of Sale which you have agreed to by checking the box when placing the order for Subscription Services and which can be found here: https://www.thebarcodewarehouse.co.uk/help/terms/ (“TBW Terms of Sale”) your continued receipt of the Subscription Services constitutes your acceptance of these terms for each separate order.
If there is any inconsistency between these Subscription Terms and the Terms & Conditions in relation to the Subscription Services, these Subscription Terms shall prevail.
1. Subscription Services
By requesting the Subscription Services, you request a regular delivery of a particular product (the “Product”) at a frequency as set out by you following the selection of the subscribe button for a particular product and setting the required frequency on the Website.
You will receive the selected Product at the frequency requested on the Website until the Subscription Services are cancelled in accordance with these Subscription Terms.
2. Ordering Process and Product Availability
Once you have subscribed to Subscription Services, the relevant Product will be ordered and delivered automatically at the delivery frequency chosen by you at the time of subscription without any further action required by you. Each delivery of the Products selected to be subject to the Subscription Services is considered an “Order”.
Some subscription and product details (including price, discount and availability) may change over time. Each Order shall be subject to the then applicable price, subscription and product details.
Before each Order is dispatched to you, you will receive an emailed order confirmation message to the email address you have provided to us when subscribing to the Subscription Services, including the order details ("Order Confirmation"). You will then be sent an e-mail to the email address you have provided to us when subscribing to the Subscription Services, confirming to you that we have dispatched the relevant Products to you at the address you have notified us of. ("Dispatch Confirmation").
The price for the Product shall be the price as set out on the Website at the date on which each separate Order is dispatched to you. Each separate Order of the Product to which the Subscription Services refer to constitutes a separate offer from you to purchase the Product(s) in question. The contract of sale, based on TBW Terms of Sale, for each Product is concluded when TBW receive payment for the Product and the product is dispatched to you and you receive a Dispatch Confirmation.
If the Product to which Subscription Services refer to is no longer available, the Subscription Services in relation to such a Product shall automatically be cancelled or, if the unavailable Product formed part of a larger Subscription Service with Products which are still available, the unavailable Product shall be automatically removed from subsequent Orders. We may, at our ultimate discretion, attempt to fulfil the order as soon as reasonably practicable.
If you wish to return a Product which has already been dispatched, such returns shall be governed by TBW Terms of Sale.
3. Price, Payment and Renewal
For each Order, you will be charged the price (including VAT where appropriate) of each Product on the day that the relevant Order is dispatched, as detailed in the Dispatch Confirmation.
The Subscription Services shall continue until cancelled in by you in accordance with these Subscription Terms. The price of each Order will be charged to the payment method you provided when creating your subscription. If we are unable to complete your order using the payment method you used to create your subscription or otherwise indicated by you, you authorise us to update your subscription with another payment method we have on record for you and to charge that payment method for that order and any subsequent orders provided during the Subscription Services. If we do not have another payment method on record for you or are unable to charge any payment method we have on record for you for your orders, your Subscription Service shall be cancelled.
Your payment method information shall be held in accordance with TBW’s Privacy Policy at https://www.thebarcodewarehouse.co.uk/help/privacy/.
4. Cancellation or Modification of a Subscription Service
You may modify or cancel the details of the Subscription Services at any time by cancelling the Subscription Services through the “My Account” section of the Website. Cancellation or modification will not affect any orders for which you have already received Order Confirmation and for the avoidance of doubt, you shall be charged for any order for you have received such Order Confirmation.
TBW retains the right to cancel your Subscription Services at any time. If your Subscription Services are cancelled, you will be notified and you will only be charged for orders for which you have already received a Dispatch Confirmation. Failure to insist upon or enforce your strict compliance with these Subscription Terms will not constitute a waiver of any of our rights.
If the Subscription Services are cancelled, you will only be charged for the orders dispatched to you on or before the date of such cancellation and no further orders for the Product to which the Subscription Services apply to will be placed or dispatched.
It is your responsibility to ensure that TBW has the correct address to which the Products are to be dispatched to and TBW does not have any responsibility for checking the validity of any physical address provided by you.
If any problems arise with your delivery address or payment method, which we are unable to address, we will notify you via e-mail using the e-mail address associated with your subscription and your Subscription Services will be automatically placed on hold. No additional orders will be processed or dispatched until the problem is resolved. TBW reserve the right to cancel the Subscription Services in the event that the payment or delivery issue cannot be resolved promptly.
5. Limitation of Liability
Without prejudice to the limitation of liability provision set out in TBW Terms of Sale and to the maximum extent allowed by applicable law, TBW’s maximum liability to you will not exceed the amount of all payments actually made by you for orders received during the previous twelve (12) months period in relation to the provision of the Subscription Services.
TBW shall under no circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any other indirect or consequential loss howsoever arising under or in connection with the provision of the Subscription Services.
Nothing in these Terms limits or excludes your statutory rights as consumer, where applicable, or our responsibility for death or personal injury caused by our negligence or wilful misconduct.
6. Amendments
We may change these Subscription Terms and TBW Terms of Sale at any time by posting the revised terms on the Website. Your continued receipt of the Subscription Services constitutes your acceptance of those changes. If you do not agree to any changes to these Terms, you must cancel the Subscription Services in accordance with these Subscription Terms.
If any provision of these Terms, as may be amended from time to time is found to be invalid, void, or for any reason unenforceable, that provision or change is deemed severable and will not affect the validity and enforceability of any remaining terms and conditions.
7. Governing law
All matters relating to the Subscription Services, these Subscription Terms, any Product sold through the Subscription Services and any dispute or Claim arising therefrom or related thereto (in each case, including non-contractual disputes or Claims), shall be governed by and construed in accordance with the laws of England and Wales
